If Amazon wanted a buyout of AMC

Amazon would only do a cash buyout.In an all-cash deal, investors convert all of their shares into cash but don't get a stake in the merged company. Instead, they can independently buy shares in the acquiring company after they receive the cash. Price would be determined by the end of day market price when announced.
Amazon is trying to cut the time it takes to get packages to customers as it fights off competition as traditional retailers like Walmart move into e-commerce. If Amazon acquired AMC Entertainment, it could use its theater locations as pickup points for its commerce customers. For AMC Entertainment, being bought by Amazon could help end its financial struggles.
Amazon might include free theater tickets with a Prime subscription, which could boost the appeal of the service, attract more subscribers, and generate more subscription revenue. Prime subscribers pay $119 per year to unlock a range of perks including free delivery for Amazon retail shopping and video streaming. It could allow Amazon to extend the reach of its shows and movies, potentially enabling it to make more money from its production business. What better way to save money than an announcement that is post dated and can be easily cancelled or changed into an acquisition order, that could bring the stock down below a 1.50. Cash deals almost always are terrible for investors.It would be easy to lock in the share price with all the paperwork already on file. And the SEC hasnt even accepted the paperwork as being filed correctly. If there is an error the company filing has 10 bussiness days to fix and refile or its null and void. 10 days from now is March 19. This is only letting you know that nothing in this paperwork is finalized except it can be used as evidence of notifying shareholders of the 63,000,000 shares they can put on sale as more common shares bringing the total to 513,000,000 after March 10,2021 at 2:59pm. $AMC Entertainment (AMC.US)$

  • Mcsnacks H Tupack OP : And Wanda company’s 125million shares have been converted to Class A shares for about 2 billion dollars. And still gets incentives if any buyout takes place before 2023.

  • Mcsnacks H Tupack OP : The 68,000,000 are AUTHORIZED! They have been authorized since December. It even says they are in the filing. When they say they have 450,000,000 outstanding and issued shares. They say plus 68,000,000 left over from earlier authorization.

  • Mcsnacks H Tupack OP : Amazon also has had their entire senior management leave the company with the last 6 months and Jeff Besos stepping down could have been a stipulation by AMC for the deal to be agreed upon.

All day Sunday and you would have enough screens to show every game that was being played. Damn if they haven’t thought of this I need to make an appointment Monday morning to make my pitch. 😎 Tell me it’s a bad idea. Sunday’s are slow days anyways for theatres and Monday nights would bring in crowds again. Pure Gold!!!!!

They didn’t announce this, it’s just a filing and I think amc will probably talk about this filing on March 10th which will be served as an announcement, everything seems positive to me at this point
