"" BigBear.ai Holdings Inc. shares were down 21% at $1.89 after the company said it has entered into definitive agreements for the issuance and sale of 13.9 million common shares and warrants to buy up to an additional 13.9 million shares at $1.80 a share and accompanying warrant in a private placement.

The warrants will become exercisable six months after issuance, have a term of five years from the initial exercise date and an exercise price of $2.39 a share.

The offering is expected to close on or about Thursday.
