Based on Section 303 of the Companies Act, we will make the following shareholder proposals at the next general meeting of shareholders of Chugai Mining Co., Ltd.

Proposal 1:　
“As of 2024/3/31,3,
It is recorded in the shareholder register of Chugai Mining Co., Ltd.
A dividend of 1 yen per share will be paid to the company's shareholders.”
The reason:
① In the fiscal year from 2023/4/1 to 2024/3/31, Chugai Mining Co., Ltd. has a profit of 1 yen or more per share.
② Since adding a stock price of 1,470 yen per share in 1987,
The stock price of Chugai Mining Co., Ltd. has been sluggish for a long time,
Shareholder returns are also not welcome, it is difficult for general investors to get close,
In order for professional players to play hand-to-hand battles
The image of a bad company has become established,
Even if corporate performance improves,
It has become a stock with almost no response from stock prices.
③ In order to dispel such an image, a dividend of 1 yen per share was paid this fiscal year, and general investors were delighted,
It is necessary to transform it into an attractive company that makes people want to invest with peace of mind.
④ In 2022, the representative director of Chugai Mining Co., Ltd.
Due to the change from Haga Kazutoshi to Nishimoto Takeshi,
Since executive remuneration of Chugai Mining Co., Ltd. has risen drastically,
Dividends should be increased accordingly.

Proposal 2:　　
“We are preparing to resume mining at the Mochikoshi Gold Mine owned by Chugai Mining Co., Ltd. in Izu City, Shizuoka Prefecture.”
The reason:　
① As of 2024/4/17 Wednesday 12:51 Japan time, the value of CGmain, which is the representative gold price in the United States, is 1 troy ounce = 31.1 grams per gram,
It is 2398.9 US dollars, and when converted to 154.649 yen/US dollar,
(2398.9/31.1) x 154.649 = 11928.86 yen/gram.

From the data described in and records of gold ore mined by Chugai Mining in the past, even now, the Mochikoshi Gold Mine is in a situation where it is sufficiently profitable.
② From 1978/1 to the present, there was a residual soil runoff accident that occurred in connection with the Izu Oshima earthquake at Mochikoshi Kanayama
Since only 46 years have passed, employees working at the Mochikoshi Gold Mine, who were 30 years old at the time, are still in their late 70s, and if they feel like it, it is possible to directly listen to stories from the time of operation and use that experience to resume gold ore mining, and they should also make the most of the last opportunity to do so.

Proposal 3:　　
“Hidemitsu Katsura (born July 1956) will be appointed as a director of Chugai Mining Co., Ltd.”
Reason: Shareholders Katsura Hidemitsu also have executive experience at American companies, and are valuable human resources who can promote effective use of the Mojikoshi Gold Mine held by Chugai Mining Co., Ltd. in Izu City, Shizuoka Prefecture by utilizing the abilities, experience, and connections cultivated by Katsura Hidemitsu, and revive Chugai Mining, which has a high return to shareholders.

Reason: Shareholder Hiroshi Yamagishi has been involved for many years as a history teacher at public high schools,
Since we have studied changes in the value of precious metals over the long term,
Chugai Mining Co., Ltd. can be developed from an ultra-long-term perspective
They are valuable human resources.
Biography of Hiroshi Yamagishi: Graduated from Waseda University Faculty of Education,
Completed the master's program at the Open University Graduate School.

“Kobayashi Takeshi (born March 1949) will be appointed as an auditor of Chugai Mining Co., Ltd.”
Reason: At the general shareholders' meeting of Chugai Mining in June 2023, shareholder Katsura Hidemitsu
“If Chugai Mining doesn't want to restart the Mochikoshi Gold Mine, why not sell the mine to Katsura Hidemitsu? How much would they sell the Mochikoshi Gold Mine? ' I asked Representative Director Nishimoto Takeshi, but at that time, without a legal basis,

Proposal 6:　
“Takuo Inaba (born May 1950) will be appointed as a director of Chugai Mining Co., Ltd.”
Reason: Takuo Inaba is a valuable human resource who has extensive connections and experience in the political world, and demonstrates a rare ability to interact with related organizations when Chugai Mining resumes operations at the Mochikoshi Gold Mine.
