Merger or Acquisition?

$Arcadium Lithium (ALTM.US)$ “The primary difference between mergers and acquisitions is that a merger is the combining of two organizations into an entirely new entity, while an acquisition is when a company absorbs another, but no new organization is created.”
“If it’s an “all-cash” deal, your shares will be replaced by the specified cash value. Conversely, if it’s an “all-stock” deal, your shares will be swapped for shares of the acquiring company.” Nasdaq ‘24.
imho this is acquisition (buyout) and not a merger.
