  • 我是Newbie : good news?

  • Jaguar8 OP 我是Newbie : Yes as one of the requirements for listing compliance. But there are other requirements

  • Jaguar8 OP 我是Newbie : Here are the other requirements

Nasdaq has specific ongoing requirements to ensure listed companies meet financial, liquidity, and governance standards. These requirements differ slightly across its three markets: the Nasdaq Global Select Market, the Nasdaq Global Market, and the Nasdaq Capital Market.

    Key Requirements for Continued Listing:

    1. Minimum Bid Price: Companies must maintain a stock price of at least $1.00 per share.
    2. Public Shareholders: A minimum of 300 to 400 unrestricted public shareholders is required, depending on the market tier.
    3. Publicly Held Shares: Companies must have at least 500,000 publicly held shares, with a market value of these shares of at least $1 million on the Nasdaq Capital Market and higher amounts for other tiers.
    4. Market Makers: A minimum of two market makers is required.
    5. Stockholders’ Equity or Other Criteria:
    • Nasdaq Capital Market: Must meet one of these:
    • $2.5 million in stockholders’ equity
    • Market value of listed securities of $35 million
    • Net income from continuing operations of $500,000 in the latest fiscal year or in two of the last three years
    • Nasdaq Global Market and Global Select tiers require higher thresholds, such as $10 million in equity or a market value of $50 million for listed securities.
    6. Corporate Governance Standards: Companies must also comply with governance requirements, including maintaining independent directors, an audit committee of qualified members, and other disclosure standards.
    7. Extensions and Compliance: If a company fails to meet a listing criterion (e.g., minimum bid price), it often receives a 180-day grace period to regain compliance. In certain cases, Nasdaq may offer a second extension or allow companies to appeal delisting decisions through hearings
