We are offering on a reasonable best efforts basis up to 1,895,734 units (“Units”), each consisting of one share of common stock, par value $0.0001 per share (“common stock”) or one pre-funded warrant to purchase one share of common stock (“Pre-Funded Warrant”) and one and one-quarter (1.25) common stock purchase warrants to purchase one share of common stock (each, a “Common Warrant”) at an assumed public offering price of $2.11 per Unit, which was the closing price of our common stock on the Nasdaq Capital Market (“Nasdaq”) on October 31, 2024, for gross proceeds of up to approximately $4,000,000.
