MENLO PARK, Calif., Feb. 12, 2025 /PRNewswire/ -- Today, Cyngn Inc. (NASDAQ: CYN) announced that all outstanding Series B cashless guarantees have been fully exercised. These stock acquisition rights were originally issued in connection with the public offering which ended on 2024/12/23. As part of this transaction, the Company concluded a securities purchase agreement (“Purchase Agreement”) relating to the sale of 3,076,006 shares of common stock (“common stock”) with a face value of $0.00001 per share and 9,346,354 pre-funded stock acquisition rights to purchase shares of common stock. Instead of common stock (“pre-funded warrants”). Cyngn has also issued Series A Warrants (“Series A Warrants”) and Series B Warrants (“Series B Warrants”) under a purchase agreement.
