$Keppel (BN4.SG)$ Keppel Corp and Sembcorp Marine announced the signing of a merger agreement between Keppel Offshore & Marine (Keppel O&M) and Sembcorp Marine, which will create a global leading offshore wind power, new energy, and clean offshore and marine solutions company.
They announced the news on April 27th that the merger is based on a 50:50 proportion of enterprise value between Keppel Offshore & Marine and Sembcorp Marine. Keppel Offshore & Marine will pay 0.5 billion yuan in cash to Keppel Corp. After the merger is completed, Keppel Corp and Sembcorp Marine's shareholders will hold 56% and 44% equity in the merged company respectively. A joint statement from both parties indicates that the legacy rigs and related receivables of Keppel Offshore & Marine will not be part of the merger plan, but will be sold to an independent "asset company", with other investors holding 90% equity in the asset company, and Keppel Corp holding the remaining 10% equity.
Keppel Offshore & Marine and Sembcorp Marine will maintain operational strength by retaining and attracting offshore and marine engineering talent while engaging with unions to address labor issues related to the merged company. The merger plan is still subject to various regulatory approvals and is expected to be submitted for approval by their respective shareholders in the fourth quarter of 2022.
