GoDaddy Insiders Sell US$4.6m Of Stock, Possibly Signalling Caution
GoDaddy Insiders Sell US$4.6m Of Stock, Possibly Signalling Caution
The fact that multiple GoDaddy Inc. (NYSE:GDDY) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.
While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, logic dictates you should pay some attention to whether insiders are buying or selling shares.

The Last 12 Months Of Insider Transactions At GoDaddy
Over the last year, we can see that the biggest insider sale was by the CEO & Director, Amanpal Bhutani, for US$596k worth of shares, at about US$74.96 per share. That means that an insider was selling shares at slightly below the current price (US$105). We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. However, while insider selling is sometimes discouraging, it's only a weak signal. This single sale was just 6.2% of Amanpal Bhutani's stake.

Insiders At GoDaddy Have Sold Stock Recently
The last quarter saw substantial insider selling of GoDaddy shares. Specifically, insiders ditched US$557k worth of shares in that time, and we didn't record any purchases whatsoever. In light of this it's hard to argue that all the insiders think that the shares are a bargain.
Insider Ownership
I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Insiders own 0.3% of GoDaddy shares, worth about US$46m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
