Toast Insiders Sold US$2.9m Of Shares Suggesting Hesitancy

Toast Insiders Sold US$2.9m Of Shares Suggesting Hesitancy

Toast Insiders

Many Toast, Inc. (NYSE:TOST) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. When evaluating insider transactions, knowing whether insiders are buying versus if they selling is usually more beneficial, as the latter can be open to many interpretations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

Although we don't think shareholders should simply follow insider transactions, we would consider it foolish to ignore insider transactions altogether.

Toast Insider Transactions Over The Last Year

Over the last year, we can see that the biggest insider sale was by the Independent Chairperson & Lead Independent Director, Mark Hawkins, for US$1.1m worth of shares, at about US$20.95 per share. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. It's of some comfort that this sale was conducted at a price well above the current share price, which is US$17.38. So it is hard to draw any strong conclusion from it.

In the last year Toast insiders didn't buy any company stock. You can see a visual depiction of insider transactions (by companies and individuals) over the last 12 months, below. Toast

The last three months saw significant insider selling at Toast. In total, insiders sold US$383k worth of shares in that time, and we didn't record any purchases whatsoever. This may suggest that some insiders think that the shares are not cheap.

Insider Ownership

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Toast insiders own about US$2.2b worth of shares (which is 23% of the company). This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.
