Possible Bearish Signals With Hayward Holdings Insiders Disposing Stock
Possible Bearish Signals With Hayward Holdings Insiders Disposing Stock
The fact that multiple Hayward Holdings, Inc. (NYSE:HAYW) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When evaluating insider transactions, knowing whether insiders are buying versus if they selling is usually more beneficial, as the latter can be open to many interpretations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.
While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we would consider it foolish to ignore insider transactions altogether.
The Last 12 Months Of Insider Transactions At Hayward Holdings
Over the last year, we can see that the biggest insider sale was by the President, Kevin Holleran, for US$1.7m worth of shares, at about US$13.44 per share. So it's clear an insider wanted to take some cash off the table, even slightly below the current price of US$13.55. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. This single sale was just 31% of Kevin Holleran's stake.

Insider Ownership
Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. I reckon it's a good sign if insiders own a significant number of shares in the company. Insiders own 0.5% of Hayward Holdings shares, worth about US$14m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.
