Possible Bearish Signals With Greif Insiders Disposing Stock
In the last year, many Greif, Inc. (NYSE:GEF) insiders sold a substantial stake in the company which may have sparked shareholders' attention. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

The Last 12 Months Of Insider Transactions At Greif

Over the last year, we can see that the biggest insider sale was by the Executive VP & CFO, Lawrence Hilsheimer, for US$885k worth of shares, at about US$60.61 per share. That means that an insider was selling shares at slightly below the current price (US$63.75). We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. It is worth noting that this sale was only 13% of Lawrence Hilsheimer's holding.

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Greif insiders own 37% of the company, currently worth about US$1.1b based on the recent share price. I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.

It's great to see high levels of insider ownership, but looking back over the last year, we don't gain confidence from the Greif insiders selling. While we like knowing what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision.
