Possible Bearish Signals With KBR Insiders Disposing Stock

Possible Bearish Signals With KBR Insiders Disposing Stock

Simply Wall St ·  05/25 10:05

The fact that multiple KBR, Inc. (NYSE:KBR) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

While insider transactions are not the most important thing when it comes to long-term investing, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At KBR

Over the last year, we can see that the biggest insider sale was by the President of Government Solutions - U.S., William Bright, for US$1.2m worth of shares, at about US$60.68 per share. That means that even when the share price was below the current price of US$66.37, an insider wanted to cash in some shares. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. We note that the biggest single sale was only 26% of William Bright's holding.

All up, insiders sold more shares in KBR than they bought, over the last year. The chart below shows insider transactions (by companies and individuals) over the last year. If you want to know exactly who sold, for how much, and when, simply click on the graph below!

Insiders At KBR Have Sold Stock Recently

Over the last three months, we've seen significant insider selling at KBR. In total, Executive VP Sonia Galindo sold US$308k worth of shares in that time, and we didn't record any purchases whatsoever. In light of this it's hard to argue that all the insiders think that the shares are a bargain.

Does KBR Boast High Insider Ownership?

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It appears that KBR insiders own 1.1% of the company, worth about US$94m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

So What Does This Data Suggest About KBR Insiders?

An insider hasn't bought KBR stock in the last three months, but there was some selling. Despite some insider buying, the longer term picture doesn't make us feel much more positive.
