Possible Bearish Signals With ITT Insiders Disposing Stock

Possible Bearish Signals With ITT Insiders Disposing Stock

Simply Wall St ·  06/17 07:15

Many ITT Inc. (NYSE:ITT) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, if numerous insiders are selling, shareholders should investigate more.

Although we don't think shareholders should simply follow insider transactions, logic dictates you should pay some attention to whether insiders are buying or selling shares.

ITT Insider Transactions Over The Last Year

The Independent Director, Donald DeFosset, made the biggest insider sale in the last 12 months. That single transaction was for US$1.0m worth of shares at a price of US$101 each. So it's clear an insider wanted to take some cash off the table, even below the current price of US$127. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. We note that the biggest single sale was 54% of Donald DeFosset's holding.

Insider Ownership Of ITT

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. I reckon it's a good sign if insiders own a significant number of shares in the company. Insiders own 0.4% of ITT shares, worth about US$45m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.
