Fabrinet Insiders Sell US$22m Of Stock, Possibly Signalling Caution

In the last year, many Fabrinet (NYSE:FN) insiders sold a substantial stake in the company which may have sparked shareholders' attention. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

Over the last year, we can see that the biggest insider sale was by the President & COO, Harpal Gill, for US$4.6m worth of shares, at about US$216 per share. That means that an insider was selling shares at slightly below the current price (US$241). When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. We note that the biggest single sale was 100% of Harpal Gill's holding.

Over the last three months, we've seen significant insider selling at Fabrinet. Specifically, insiders ditched US$1.7m worth of shares in that time, and we didn't record any purchases whatsoever. Overall this makes us a bit cautious, but it's not the be all and end all.

I reckon it's a good sign if insiders own a significant number of shares in the company. Fabrinet insiders own about US$26m worth of shares. That equates to 0.3% of the company. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
