Possible Bearish Signals With Terex Insiders Disposing Stock

Possible Bearish Signals With Terex Insiders Disposing Stock

Simply Wall St ·  06/29 09:59

Many Terex Corporation (NYSE:TEX) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, logic dictates you should pay some attention to whether insiders are buying or selling shares.

Terex Insider Transactions Over The Last Year

The Consultant, John Garrison, made the biggest insider sale in the last 12 months. That single transaction was for US$4.5m worth of shares at a price of US$61.74 each. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. It's of some comfort that this sale was conducted at a price well above the current share price, which is US$54.84. So it may not tell us anything about how insiders feel about the current share price.

In the last twelve months insiders purchased 59.73k shares for US$3.0m. But insiders sold 247.54k shares worth US$15m. Over the last year we saw more insider selling of Terex shares, than buying. The chart below shows insider transactions (by companies and individuals) over the last year. By clicking on the graph below, you can see the precise details of each insider transaction!

Insiders At Terex Have Sold Stock Recently

The last quarter saw substantial insider selling of Terex shares. In total, insiders sold US$2.7m worth of shares in that time, and we didn't record any purchases whatsoever. This may suggest that some insiders think that the shares are not cheap.

Does Terex Boast High Insider Ownership?

For a common shareholder, it is worth checking how many shares are held by company insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It appears that Terex insiders own 2.5% of the company, worth about US$91m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

So What Does This Data Suggest About Terex Insiders?

Insiders sold Terex shares recently, but they didn't buy any. Despite some insider buying, the longer term picture doesn't make us feel much more positive. On the plus side, Terex makes money, and is growing profits. While insiders do own shares, they don't own a heap, and they have been selling. So we'd only buy after careful consideration. In addition to knowing about insider transactions going on, it's beneficial to identify the risks facing Terex. For instance, we've identified 2 warning signs for Terex (1 shouldn't be ignored) you should be aware of.

Of course Terex may not be the best stock to buy. So you may wish to see this free collection of high quality companies.
