Possible Bearish Signals With H&R Block Insiders Disposing Stock

Possible Bearish Signals With H&R Block Insiders Disposing Stock

H&R Block
Simply Wall St ·  07/17 06:06

In the last year, many H&R Block, Inc. (NYSE:HRB) insiders sold a substantial stake in the company which may have sparked shareholders' attention. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

While insider transactions are not the most important thing when it comes to long-term investing, logic dictates you should pay some attention to whether insiders are buying or selling shares.

H&R Block Insider Transactions Over The Last Year

H&R Block

In the last twelve months, the biggest single sale by an insider was when the Executive Officer, Tony Bowen, sold US$2.2m worth of shares at a price of US$47.10 per share. That means that even when the share price was below the current price of US$55.75, an insider wanted to cash in some shares. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. We note that the biggest single sale was only 34% of Tony Bowen's holding.

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. We usually like to see fairly high levels of insider ownership. Insiders own 0.7% of H&R Block shares, worth about US$53m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.

The fact that there have been no H&R Block insider transactions recently certainly doesn't bother us. We don't take much encouragement from the transactions by H&R Block insiders. But we do like the fact that insiders own a fair chunk of the company. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision.
