The fact that multiple Steelcase Inc. (NYSE:SCS) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

Notably, that recent sale by Senior VP & CFO David Sylvester was not the only time they sold Steelcase shares this year. They previously made an even bigger sale of -US$1.2m worth of shares at a price of US$13.87 per share. That means that an insider was selling shares at slightly below the current price (US$14.49). As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. This single sale was just 13% of David Sylvester's stake.

I reckon it's a good sign if insiders own a significant number of shares in the company. Steelcase insiders own about US$354m worth of shares (which is 21% of the company). Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.

While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision. While conducting our analysis, we found that Steelcase has 2 warning signs and it would be unwise to ignore them.
