We'd be surprised if Veralto Corporation (NYSE:VLTO) shareholders haven't noticed that the Senior Vice President of Product Quality & Innovation, Mattias Byström, recently sold US$318k worth of stock at US$106 per share. On the bright side, that sale was only 8.8% of their holding, so we doubt it's very meaningful, on its own.

Over the last year, we can see that the biggest insider sale was by the Senior Vice President of Water Quality, Melissa Aquino, for US$752k worth of shares, at about US$93.56 per share. That means that even when the share price was below the current price of US$107, an insider wanted to cash in some shares. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. We note that the biggest single sale was 89% of Melissa Aquino's holding.

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It's great to see that Veralto insiders own 4.0% of the company, worth about US$1.1b. I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.

An insider hasn't bought Veralto stock in the last three months, but there was some selling. Zooming out, the longer term picture doesn't give us much comfort. It is good to see high insider ownership, but the insider selling leaves us cautious. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision. While conducting our analysis, we found that Veralto has 1 warning sign and it would be unwise to ignore it.
