Possible Bearish Signals With GMS Insiders Disposing Stock

Over the past year, many GMS Inc. (NYSE:GMS) insiders sold a significant stake in the company which may have piqued investors' interest. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, if numerous insiders are selling, shareholders should investigate more.

In the last twelve months, the biggest single sale by an insider was when the President, John Turner, sold US$611k worth of shares at a price of US$97.58 per share. So what is clear is that an insider saw fit to sell at around the current price of US$88.85. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. We note that this sale took place at around the current price, so it isn't a major concern, though it's hardly a good sign.

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. We usually like to see fairly high levels of insider ownership. GMS insiders own about US$20m worth of shares. That equates to 0.6% of the company. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
