We wouldn't blame Q2 Holdings, Inc. (NYSE:QTWO) shareholders if they were a little worried about the fact that M. Kerr, the Senior VP recently netted about US$520k selling shares at an average price of US$69.27. Probably the most concerning element of the whole transaction is that the disposal amounted to 74% of their entire holding.

The Last 12 Months Of Insider Transactions At Q2 Holdings

Q2 Holdings

In the last twelve months, the biggest single sale by an insider was when the CEO & Chairman of the Board, Matthew Flake, sold US$1.3m worth of shares at a price of US$46.01 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$72.15. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. This single sale was just 6.5% of Matthew Flake's stake.

Insider Ownership Of Q2 Holdings

Q2 Holdings

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. A high insider ownership often makes company leadership more mindful of shareholder interests. Q2 Holdings insiders own 2.8% of the company, currently worth about US$120m based on the recent share price. I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.
