Possible Bearish Signals With BorgWarner Insiders Disposing Stock

Possible Bearish Signals With BorgWarner Insiders Disposing Stock

Simply Wall St ·  09/16 07:17

The fact that multiple BorgWarner Inc. (NYSE:BWA) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we would consider it foolish to ignore insider transactions altogether.

The Last 12 Months Of Insider Transactions At BorgWarner

Over the last year, we can see that the biggest insider sale was by the President, Frederic Lissalde, for US$7.0m worth of shares, at about US$31.08 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$32.21. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. It is worth noting that this sale was only 33% of Frederic Lissalde's holding.

BorgWarner Insiders Are Selling The Stock

The last three months saw significant insider selling at BorgWarner. Specifically, insiders ditched US$1.3m worth of shares in that time, and we didn't record any purchases whatsoever. In light of this it's hard to argue that all the insiders think that the shares are a bargain.

Insider Ownership

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. A high insider ownership often makes company leadership more mindful of shareholder interests. Insiders own 0.8% of BorgWarner shares, worth about US$61m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
