Statement on Hawaiian Airlines Debt Exchange
This notification is intended for holders of the 11.000% Senior Secured Notes due 2029 (CUSIP Nos. G4404LAB6 & 41984LAB3) (the "2029 Notes") issued by Hawaiian Brand Intellectual Property, Ltd. and HawaiianMiles Loyalty, Ltd., each of which is an indirect wholly owned subsidiary of Hawaiian Airlines, Inc. (the "Company"). This notification is provided to comply with Treasury Regulations Section 1.1273-2(f)(9). The Company hereby informs such holders of its determination that the 2029 Notes are traded on an established market within the meaning of Treasury Regulations Section 1.1273-2(f). The issue price of the 2029 Notes for U.S. federal income tax purposes is $94.90 per $100 stated principal amount.
