Anyone interested in Bank OZK (NASDAQ:OZK) should probably be aware that the Chief Financial Officer, Tim Hicks, recently divested US$440k worth of shares in the company, at an average price of US$43.97 each. The eyebrow raising move amounted to a reduction of 10% in their holding.

The Last 12 Months Of Insider Transactions At Bank OZK

The Independent Director, Ross Whipple, made the biggest insider sale in the last 12 months. That single transaction was for US$5.2m worth of shares at a price of US$51.50 each. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. It's of some comfort that this sale was conducted at a price well above the current share price, which is US$43.56. So it is hard to draw any strong conclusion from it.

Insider Ownership

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. A high insider ownership often makes company leadership more mindful of shareholder interests. Bank OZK insiders own about US$323m worth of shares (which is 6.5% of the company). Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.
