Kroger Insiders Sell US$1.4m Of Stock, Possibly Signalling Caution
Kroger Insiders Sell US$1.4m Of Stock, Possibly Signalling Caution
The fact that multiple The Kroger Co. (NYSE:KR) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.
While insider transactions are not the most important thing when it comes to long-term investing, we do think it is perfectly logical to keep tabs on what insiders are doing.
The Last 12 Months Of Insider Transactions At Kroger
The insider, Valerie Jabbar, made the biggest insider sale in the last 12 months. That single transaction was for US$833k worth of shares at a price of US$55.52 each. That means that an insider was selling shares at slightly below the current price (US$58.10). We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. We note that the biggest single sale was only 16% of Valerie Jabbar's holding.

The last quarter saw substantial insider selling of Kroger shares. In total, insiders dumped US$391k worth of shares in that time, and we didn't record any purchases whatsoever. In light of this it's hard to argue that all the insiders think that the shares are a bargain.

Insider Ownership Of Kroger
Many investors like to check how much of a company is owned by insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Kroger insiders own 0.8% of the company, currently worth about US$336m based on the recent share price. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.
What Might The Insider Transactions At Kroger Tell Us?
Insiders sold Kroger shares recently, but they didn't buy any. And even if we look at the last year, we didn't see any purchases. But since Kroger is profitable and growing, we're not too worried by this. While insiders do own a lot of shares in the company (which is good), our analysis of their transactions doesn't make us feel confident about the company. In addition to knowing about insider transactions going on, it's beneficial to identify the risks facing Kroger. For example - Kroger has 1 warning sign we think you should be aware of.
