Independent Chairman Thomas Carlile Sold A Bunch Of Shares In Boise Cascade
Independent Chairman Thomas Carlile Sold A Bunch Of Shares In Boise Cascade
We wouldn't blame Boise Cascade Company (NYSE:BCC) shareholders if they were a little worried about the fact that Thomas Carlile, the Independent Chairman recently netted about US$1.4m selling shares at an average price of US$146. That sale reduced their total holding by 26% which is hardly insignificant, but far from the worst we've seen.
Boise Cascade Insider Transactions Over The Last Year
Over the last year, we can see that the biggest insider sale was by the insider, Dean Brown, for US$1.5m worth of shares, at about US$139 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$148. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. We note that the biggest single sale was only 22% of Dean Brown's holding.

Insider Ownership
Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. We usually like to see fairly high levels of insider ownership. Insiders own 1.0% of Boise Cascade shares, worth about US$56m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.
