Synopsys Insiders Sold US$14m Of Shares Suggesting Hesitancy
Synopsys Insiders Sold US$14m Of Shares Suggesting Hesitancy
In the last year, many Synopsys, Inc. (NASDAQ:SNPS) insiders sold a substantial stake in the company which may have sparked shareholders' attention. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.
While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, logic dictates you should pay some attention to whether insiders are buying or selling shares.
The Last 12 Months Of Insider Transactions At Synopsys
Over the last year, we can see that the biggest insider sale was by the Lead Independent Director, Roy Vallee, for US$5.7m worth of shares, at about US$573 per share. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. The good news is that this large sale was at well above current price of US$512. So it may not shed much light on insider confidence at current levels.

Insider Ownership
I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. Synopsys insiders own about US$487m worth of shares (which is 0.6% of the company). Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.
