Ladder Capital Insiders Sold US$2.1m Of Shares Suggesting Hesitancy
In the last year, many Ladder Capital Corp (NYSE:LADR) insiders sold a substantial stake in the company which may have sparked shareholders' attention. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, if numerous insiders are selling, shareholders should investigate more.
Although we don't think shareholders should simply follow insider transactions, we would consider it foolish to ignore insider transactions altogether.
Ladder Capital Insider Transactions Over The Last Year
Over the last year, we can see that the biggest insider sale was by the Founder, Pamela McCormack, for US$1.2m worth of shares, at about US$12.17 per share. So what is clear is that an insider saw fit to sell at around the current price of US$11.29. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. In this case, the big sale took place at around the current price, so it's not too bad (but it's still not a positive).

Insider Ownership
Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It's great to see that Ladder Capital insiders own 12% of the company, worth about US$172m. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.
So What Do The Ladder Capital Insider Transactions Indicate?
The fact that there have been no Ladder Capital insider transactions recently certainly doesn't bother us. It's great to see high levels of insider ownership, but looking back over the last year, we don't gain confidence from the Ladder Capital insiders selling. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company. For example, Ladder Capital has 2 warning signs (and 1 which is significant) we think you should know about.
