Possible Bearish Signals With Brink's Insiders Disposing Stock

Possible Bearish Signals With Brink's Insiders Disposing Stock

Brink
Simply Wall St ·  2023/11/21 10:16

The fact that multiple The Brink's Company (NYSE:BCO) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, if numerous insiders are selling, shareholders should investigate more.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we would consider it foolish to ignore insider transactions altogether.

Brink's Insider Transactions Over The Last Year

Brink

In the last twelve months, the biggest single sale by an insider was when the insider, Michael Beech, sold US$3.0m worth of shares at a price of US$67.77 per share. That means that an insider was selling shares at slightly below the current price (US$78.04). As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. This single sale was 62% of Michael Beech's stake.

Insiders At Brink's Have Sold Stock Recently

Brink's

The last three months saw significant insider selling at Brink's. In total, Independent Director Arthelbert Parker dumped US$122k worth of shares in that time, and we didn't record any purchases whatsoever. In light of this it's hard to argue that all the insiders think that the shares are a bargain.

Insider Ownership

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Insiders own 2.4% of Brink's shares, worth about US$85m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.
