Senior VP & CFO Brad Cerepak Sold A Bunch Of Shares In Dover
Senior VP & CFO Brad Cerepak Sold A Bunch Of Shares In Dover
We wouldn't blame Dover Corporation (NYSE:DOV) shareholders if they were a little worried about the fact that Brad Cerepak, the Senior VP & CFO recently netted about US$2.0m selling shares at an average price of US$142. That sale reduced their total holding by 30% which is hardly insignificant, but far from the worst we've seen.

Dover Insider Transactions Over The Last Year
Notably, that recent sale by Senior VP & CFO Brad Cerepak was not the only time they sold Dover shares this year. They previously made an even bigger sale of -US$5.0m worth of shares at a price of US$144 per share. So we know that an insider sold shares at around the present share price of US$144. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. In this case, the big sale took place at around the current price, so it's not too bad (but it's still not a positive).

Does Dover Boast High Insider Ownership?
I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. It appears that Dover insiders own 0.4% of the company, worth about US$87m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.
So What Do The Dover Insider Transactions Indicate?

Insiders sold stock recently, but they haven't been buying. And even if we look at the last year, we didn't see any purchases. Insider ownership isn't particularly high, so this analysis makes us cautious about the company. So we'd only buy after careful consideration. While we like knowing what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision.
