Have Insiders Sold Dillard's Shares Recently?
Have Insiders Sold Dillard's Shares Recently?
We'd be surprised if Dillard's, Inc. (NYSE:DDS) shareholders haven't noticed that the Independent Director, J.C. Watts, recently sold US$383k worth of stock at US$383 per share. On the bright side, that sale was only 7.8% of their holding, so we doubt it's very meaningful, on its own.

The Last 12 Months Of Insider Transactions At Dillard's
Notably, that recent sale by J.C. Watts is the biggest insider sale of Dillard's shares that we've seen in the last year. So it's clear an insider wanted to take some cash off the table, even slightly below the current price of US$383. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. We note that the biggest single sale was only 7.8%of J.C. Watts's holding.

Insider Ownership
Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It's great to see that Dillard's insiders own 26% of the company, worth about US$1.6b. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.
