Possible Bearish Signals With Bristow Group Insiders Disposing Stock

Possible Bearish Signals With Bristow Group Insiders Disposing Stock

Bristow
Simply Wall St ·  07/13 09:39

Quite a few Bristow Group Inc. (NYSE:VTOL) insiders sold their shares over the past year, which may be a cause for concern. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

While insider transactions are not the most important thing when it comes to long-term investing, we would consider it foolish to ignore insider transactions altogether.

Bristow Group Insider Transactions Over The Last Year

Bristow Group

In the last twelve months, the biggest single sale by an insider was when the Executive VP & Chief Transformation Officer, David Stepanek, sold US$236k worth of shares at a price of US$26.13 per share. That means that even when the share price was below the current price of US$35.50, an insider wanted to cash in some shares. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. It is worth noting that this sale was 55% of David Stepanek's holding.

Bristow Group Insiders Are Selling The Stock

Bristow Group

The last three months saw significant insider selling at Bristow Group. Specifically, insiders ditched US$117k worth of shares in that time, and we didn't record any purchases whatsoever. In light of this it's hard to argue that all the insiders think that the shares are a bargain.

Does Bristow Group Boast High Insider Ownership?

Bristow Group

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. It appears that Bristow Group insiders own 2.1% of the company, worth about US$20m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
