From what we can see, insiders were net sellers in Vector Group Ltd.'s (NYSE:VGR ) during the past 12 months. That is, insiders sold the stock in greater numbers than they purchased it.

While insider transactions are not the most important thing when it comes to long-term investing, we would consider it foolish to ignore insider transactions altogether.

Vector Group Insider Transactions Over The Last Year

The Independent Chairman of the Board, Bennett LeBow, made the biggest insider sale in the last 12 months. That single transaction was for US$2.0m worth of shares at a price of US$11.69 each. So it's clear an insider wanted to take some cash off the table, even below the current price of US$12.52. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. We note that the biggest single sale was 88% of Bennett LeBow's holding. Bennett LeBow was the only individual insider to sell shares in the last twelve months.

Happily, we note that in the last year insiders paid US$206k for 20.00k shares. On the other hand they divested 171.05k shares, for US$2.0m. You can see the insider transactions (by companies and individuals) over the last year depicted in the chart below. Insider Ownership Of Vector Group

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. We usually like to see fairly high levels of insider ownership. Vector Group insiders own about US$296m worth of shares (which is 16% of the company). This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.

What Might The Insider Transactions At Vector Group Tell Us?

It doesn't really mean much that no insider has traded Vector Group shares in the last quarter. It's heartening that insiders own plenty of stock, but we'd like to see more insider buying, since the last year of Vector Group insider transactions don't fill us with confidence. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company. To that end, you should learn about the 3 warning signs we've spotted with Vector Group (including 2 which make us uncomfortable).
