Possible Bearish Signals With BancFirst Insiders Disposing Stock

Possible Bearish Signals With BancFirst Insiders Disposing Stock

Simply Wall St ·  10/24 06:00

In the last year, many BancFirst Corporation (NASDAQ:BANF) insiders sold a substantial stake in the company which may have sparked shareholders' attention. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, if numerous insiders are selling, shareholders should investigate more.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At BancFirst

Notably, that recent sale by Executive Chairman David Rainbolt was not the only time they sold BancFirst shares this year. Earlier in the year, they fetched US$106 per share in a -US$3.9m sale. So it's clear an insider wanted to take some cash off the table, even below the current price of US$110. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. This single sale was just 0.4% of David Rainbolt's stake.

Over the last year, we can see that insiders have bought 1.01k shares worth US$94k. But insiders sold 160.08k shares worth US$17m. Over the last year we saw more insider selling of BancFirst shares, than buying. You can see the insider transactions (by companies and individuals) over the last year depicted in the chart below. The last quarter saw substantial insider selling of BancFirst shares. In total, insiders dumped US$13m worth of shares in that time, and we didn't record any purchases whatsoever. In light of this it's hard to argue that all the insiders think that the shares are a bargain.

Does BancFirst Boast High Insider Ownership?

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. BancFirst insiders own 33% of the company, currently worth about US$1.2b based on the recent share price. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.
