Over the past year, many Winmark Corporation (NASDAQ:WINA) insiders sold a significant stake in the company which may have piqued investors' interest. Over the last year, we can see that the biggest insider sale was by the Independent Director, Lawrence Barbetta, for US$3.1m worth of shares, at about US$309 per share. That means that even when the share price was below the current price of US$400, an insider wanted to cash in some shares. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. It is worth noting that this sale was 57% of Lawrence Barbetta's holding.

Insider Ownership Of Winmark
Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It's great to see that Winmark insiders own 18% of the company, worth about US$252m. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.
