The fact that multiple Polaris Inc. (NYSE:PII) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. In the last twelve months, the biggest single sale by an insider was when the CEO & Director, Michael Speetzen, sold US$2.0m worth of shares at a price of US$138 per share. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. It's of some comfort that this sale was conducted at a price well above the current share price, which is US$86.85. So it may not shed much light on insider confidence at current levels.

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. It appears that Polaris insiders own 0.5% of the company, worth about US$26m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

So What Do The Polaris Insider Transactions Indicate?

The fact that there have been no Polaris insider transactions recently certainly doesn't bother us. We don't take much encouragement from the transactions by Polaris insiders. But we do like the fact that insiders own a fair chunk of the company. So while it's helpful to know what insiders are doing in terms of buying or selling, it's also helpful to know the risks that a particular company is facing.
