Insiders At AutoNation Sold US$146m In Stock, Alluding To Potential Weakness

Over the past year, many AutoNation, Inc. (NYSE:AN) insiders sold a significant stake in the company which may have piqued investors' interest. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, if numerous insiders are selling, shareholders should investigate more.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we do think it is perfectly logical to keep tabs on what insiders are doing.

AutoNation Insider Transactions Over The Last Year

The insider, Edward Lampert, made the biggest insider sale in the last 12 months. That single transaction was for US$23m worth of shares at a price of US$152 each. So we know that an insider sold shares at around the present share price of US$140. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. In this case, the big sale took place at around the current price, so it's not too bad (but it's still not a positive).

AutoNation Insiders Are Selling The Stock

The last quarter saw substantial insider selling of AutoNation shares. In total, insider Edward Lampert sold US$23m worth of shares in that time, and we didn't record any purchases whatsoever. This may suggest that some insiders think that the shares are not cheap.

Does AutoNation Boast High Insider Ownership?

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. It's great to see that AutoNation insiders own 12% of the company, worth about US$704m. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.

So What Do The AutoNation Insider Transactions Indicate?

An insider sold stock recently, but they haven't been buying. Zooming out, the longer term picture doesn't give us much comfort. While insiders do own a lot of shares in the company (which is good), our analysis of their transactions doesn't make us feel confident about the company. While we like knowing what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision.
