Over the past year, many G-III Apparel Group, Ltd. (NASDAQ:GIII) insiders sold a significant stake in the company which may have piqued investors' interest. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, if numerous insiders are selling, shareholders should investigate more.

While insider transactions are not the most important thing when it comes to long-term investing, logic dictates you should pay some attention to whether insiders are buying or selling shares.

G-III Apparel Group Insider Transactions Over The Last Year

In the last twelve months, the biggest single sale by an insider was when the Vice Chairman & President, Sammy Aaron, sold US$4.1m worth of shares at a price of US$19.75 per share. That means that even when the share price was below the current price of US$31.63, an insider wanted to cash in some shares. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. It is worth noting that this sale was 75% of Sammy Aaron's holding.

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. G-III Apparel Group insiders own about US$160m worth of shares (which is 11% of the company). I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.
