Insiders At Universal Display Sold US$7.6m In Stock, Alluding To Potential Weakness

In the last year, many Universal Display Corporation (NASDAQ:OLED) insiders sold a substantial stake in the company which may have sparked shareholders' attention. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we do think it is perfectly logical to keep tabs on what insiders are doing.

Universal Display Insider Transactions Over The Last Year

Over the last year, we can see that the biggest insider sale was by the Independent Director, Lawrence Lacerte, for US$2.9m worth of shares, at about US$138 per share. That means that an insider was selling shares at slightly below the current price (US$186). When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. We note that the biggest single sale was only 13% of Lawrence Lacerte's holding.

Does Universal Display Boast High Insider Ownership?

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. We usually like to see fairly high levels of insider ownership. Universal Display insiders own about US$153m worth of shares (which is 1.7% of the company). This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.

So What Do The Universal Display Insider Transactions Indicate?

It doesn't really mean much that no insider has traded Universal Display shares in the last quarter. While we feel good about high insider ownership of Universal Display, we can't say the same about the selling of shares. So while it's helpful to know what insiders are doing in terms of buying or selling, it's also helpful to know the risks that a particular company is facing. While conducting our analysis, we found that Universal Display has 1 warning sign and it would be unwise to ignore this.
