Quite a few QuantumScape Corporation (NYSE:QS) insiders sold their shares over the past year, which may be a cause for concern. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, if numerous insiders are selling, shareholders should investigate more.
Although we don't think shareholders should simply follow insider transactions, logic dictates you should pay some attention to whether insiders are buying or selling shares.
QuantumScape Insider Transactions Over The Last Year
Over the last year, we can see that the biggest insider sale was by the Chief Legal Officer & Head of Corporate Development, Michael McCarthy, for US$316k worth of shares, at about US$7.04 per share. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. The good news is that this large sale was at well above current price of US$5.82. So it may not tell us anything about how insiders feel about the current share price.
In the last year QuantumScape insiders didn't buy any company stock. You can see the insider transactions (by companies and individuals) over the last year depicted in the chart below. Insiders At QuantumScape Have Sold Stock Recently
The last quarter saw substantial insider selling of QuantumScape shares. In total, Chief Legal Officer & Head of Corporate Development Michael McCarthy dumped US$255k worth of shares in that time, and we didn't record any purchases whatsoever. In light of this it's hard to argue that all the insiders think that the shares are a bargain.
Insider Ownership Of QuantumScape
Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. I reckon it's a good sign if insiders own a significant number of shares in the company. QuantumScape insiders own 8.7% of the company, currently worth about US$245m based on the recent share price. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.
