Anyone interested in Magnite, Inc. (NASDAQ:MGNI) should probably be aware that the Independent Director, Robert Spillane, recently divested US$326k worth of shares in the company, at an average price of US$13.04 each. The eyebrow raising move amounted to a reduction of 27% in their holding.

The Last 12 Months Of Insider Transactions At Magnite

Notably, that recent sale by Robert Spillane is the biggest insider sale of Magnite shares that we've seen in the last year. So it's clear an insider wanted to take some cash off the table, even below the current price of US$13.73. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. However, while insider selling is sometimes discouraging, it's only a weak signal. This single sale was just 27% of Robert Spillane's stake.

Does Magnite Boast High Insider Ownership?

For a common shareholder, it is worth checking how many shares are held by company insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. Magnite insiders own about US$43m worth of shares. That equates to 2.2% of the company. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

What Might The Insider Transactions At Magnite Tell Us?

An insider sold stock recently, but they haven't been buying. And there weren't any purchases to give us comfort, over the last year. While insiders do own shares, they don't own a heap, and they have been selling. So we'd only buy after careful consideration. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision. At Simply Wall St, we found 2 warning signs for Magnite that deserve your attention before buying any shares.
