Many NiSource Inc. (NYSE:NI) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.
While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we do think it is perfectly logical to keep tabs on what insiders are doing.
NiSource Insider Transactions Over The Last Year
Over the last year, we can see that the biggest insider purchase was by President Lloyd Yates for US$1.1m worth of shares, at about US$26.44 per share. So it's clear an insider wanted to buy, at around the current price, which is US$29.21. While their view may have changed since the purchase was made, this does at least suggest they have had confidence in the company's future. If someone buys shares at well below current prices, it's a good sign on balance, but keep in mind they may no longer see value. Happily, the NiSource insider decided to buy shares at close to current prices. Lloyd Yates was the only individual insider to buy during the last year.

Insiders At NiSource Have Sold Stock Recently
The last three months saw significant insider selling at NiSource. In total, Chief Human Resources Officer & Senior VP of Administration Melanie Berman dumped US$105k worth of shares in that time, and we didn't record any purchases whatsoever. This may suggest that some insiders think that the shares are not cheap.
Insider Ownership Of NiSource
Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It appears that NiSource insiders own 0.3% of the company, worth about US$40m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
What Might The Insider Transactions At NiSource Tell Us?
An insider sold NiSource shares recently, but they didn't buy any. Zooming out, the longer term picture doesn't give us much comfort. But it is good to see that NiSource is growing earnings. Insider ownership isn't particularly high, so this analysis makes us cautious about the company. So we'd only buy after careful consideration. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision.
