Fortive Insiders Sell US$5.1m Of Stock, Possibly Signalling Caution

In the last year, many Fortive Corporation (NYSE:FTV) insiders sold a substantial stake in the company which may have sparked shareholders' attention. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, if numerous insiders are selling, shareholders should investigate more.

Although we don't think shareholders should simply follow insider transactions, logic dictates you should pay some attention to whether insiders are buying or selling shares.

The Last 12 Months Of Insider Transactions At Fortive

In the last twelve months, the biggest single sale by an insider was when the Senior VP & CFO, Charles McLaughlin, sold US$3.5m worth of shares at a price of US$86.28 per share. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. The good news is that this large sale was at well above current price of US$74.95. So it may not tell us anything about how insiders feel about the current share price.

Insider Ownership

For a common shareholder, it is worth checking how many shares are held by company insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Fortive insiders own about US$86m worth of shares. That equates to 0.3% of the company. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.
