While it's been a great week for Labcorp Holdings Inc. (NYSE:LH) shareholders after stock gained 12%, they should consider it with a grain of salt. The fact that insiders chose to dispose of US$6.9m worth of stock in the past 12 months even though prices were relatively low could be indicative of some anticipated weakness.
While insider transactions are not the most important thing when it comes to long-term investing, we would consider it foolish to ignore insider transactions altogether.
The Last 12 Months Of Insider Transactions At Labcorp Holdings
Over the last year, we can see that the biggest insider sale was by the CFO & Executive VP, Glenn Eisenberg, for US$4.4m worth of shares, at about US$218 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$236. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. However, while insider selling is sometimes discouraging, it's only a weak signal. This single sale was just 46% of Glenn Eisenberg's stake.

Over the last three months, we've seen significant insider selling at Labcorp Holdings. Specifically, Executive VP Sandra van der Vaart ditched US$422k worth of shares in that time, and we didn't record any purchases whatsoever. In light of this it's hard to argue that all the insiders think that the shares are a bargain.
Insider Ownership Of Labcorp Holdings
I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. Insiders own 0.4% of Labcorp Holdings shares, worth about US$80m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.
So What Do The Labcorp Holdings Insider Transactions Indicate?
An insider sold Labcorp Holdings shares recently, but they didn't buy any. Looking to the last twelve months, our data doesn't show any insider buying. While insiders do own shares, they don't own a heap, and they have been selling. So we'd only buy after careful consideration. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision.
