From what we can see, insiders were net sellers in WaFd, Inc.'s (NASDAQ:WAFD ) during the past 12 months. That is, insiders sold the stock in greater numbers than they purchased it.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we would consider it foolish to ignore insider transactions altogether.

The Last 12 Months Of Insider Transactions At WaFd

In the last twelve months, the biggest single sale by an insider was when the Executive VP, Cathy Cooper, sold US$399k worth of shares at a price of US$28.52 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$34.67. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. It is worth noting that this sale was only 18% of Cathy Cooper's holding. Cathy Cooper was the only individual insider to sell over the last year.

Over the last three months, we've seen significant insider selling at WaFd. In total, Executive VP Cathy Cooper dumped US$399k worth of shares in that time, and we didn't record any purchases whatsoever. In light of this it's hard to argue that all the insiders think that the shares are a bargain.

Insider Ownership Of WaFd

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. A high insider ownership often makes company leadership more mindful of shareholder interests. Insiders own 1.4% of WaFd shares, worth about US$38m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.

What Might The Insider Transactions At WaFd Tell Us?

An insider sold WaFd shares recently, but they didn't buy any. And there weren't any purchases to give us comfort, over the last year. Insiders own shares, but we're still pretty cautious, given the history of sales. So we'd only buy after careful consideration. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company.
