Arrow Electronics, Inc. (NYSE:ARW) shareholders may have reason to be concerned, as several insiders sold their shares over the past year. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

While insider transactions are not the most important thing when it comes to long-term investing, we would consider it foolish to ignore insider transactions altogether.

Arrow Electronics Insider Transactions Over The Last Year

In the last twelve months, the biggest single sale by an insider was when the Independent Director, Gail Hamilton, sold US$396k worth of shares at a price of US$133 per share. So it's clear an insider wanted to take some cash off the table, even slightly below the current price of US$134. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. It is worth noting that this sale was 97% of Gail Hamilton's holding.

Insider Ownership Of Arrow Electronics

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It appears that Arrow Electronics insiders own 0.6% of the company, worth about US$46m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.
