EMCOR Group's Insiders' Timely Sale May Have Helped Mitigate 10% Dip in Share Price

Insiders at EMCOR Group, Inc. (NYSE:EME) sold US$7.8m worth of stock at an average price of US$278 a share over the past year, making the most of their investment. The company's market valuation decreased by US$1.9b after the stock price dropped 10% over the past week, but insiders were spared from painful losses.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, logic dictates you should pay some attention to whether insiders are buying or selling shares.

The Last 12 Months Of Insider Transactions At EMCOR Group

The insider, R. Matz, made the biggest insider sale in the last 12 months. That single transaction was for US$3.2m worth of shares at a price of US$211 each. So it's clear an insider wanted to take some cash off the table, even below the current price of US$353. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. However, while insider selling is sometimes discouraging, it's only a weak signal. We note that the biggest single sale was only 8.5% of R. Matz's holding.

EMCOR Group Insiders Are Selling The Stock

The last quarter saw substantial insider selling of EMCOR Group shares. In total, Independent Director Robin Walker-Lee sold US$482k worth of shares in that time, and we didn't record any purchases whatsoever. In light of this it's hard to argue that all the insiders think that the shares are a bargain.

Insider Ownership Of EMCOR Group

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. We usually like to see fairly high levels of insider ownership. It's great to see that EMCOR Group insiders own 1.2% of the company, worth about US$194m. I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.

An insider sold stock recently, but they haven't been buying. Despite some insider buying, the longer term picture doesn't make us feel much more positive. But since EMCOR Group is profitable and growing, we're not too worried by this. The company boasts high insider ownership, but we're a little hesitant, given the history of share sales.
