Possible Bearish Signals With Aon Insiders Disposing Stock

The fact that multiple Aon plc (NYSE:AON) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, if numerous insiders are selling, shareholders should investigate more.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we would consider it foolish to ignore insider transactions altogether.

The Last 12 Months Of Insider Transactions At Aon

In the last twelve months, the biggest single purchase by an insider was when Independent Non-Executive Chairman of the Board Lester Knight bought US$15m worth of shares at a price of US$302 per share. Even though the purchase was made at a significantly lower price than the recent price (US$345), we still think insider buying is a positive. While it does suggest insiders consider the stock undervalued at lower prices, this transaction doesn't tell us much about what they think of current prices.

In the last twelve months insiders purchased 60.73k shares for US$18m. But insiders sold 80.77k shares worth US$25m. In total, Aon insiders sold more than they bought over the last year. Insiders At Aon Have Sold Stock Recently

There was substantially more insider selling, than buying, of Aon shares over the last three months. In total, insiders sold US$444k worth of shares in that time. On the other hand we note Independent Director Byron Spruell bought US$247k worth of shares. Since the selling really does outweigh the buying, we'd say that these transactions may suggest that some insiders feel the shares are not cheap.

Does Aon Boast High Insider Ownership?

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. It's great to see that Aon insiders own 1.1% of the company, worth about US$858m. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.

What Might The Insider Transactions At Aon Tell Us?

The stark truth for Aon is that there has been more insider selling than insider buying in the last three months. Despite some insider buying, the longer term picture doesn't make us feel much more positive. The company boasts high insider ownership, but we're a little hesitant, given the history of share sales. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company.
