They will provide opinions to the independent directors' committee and independent shareholders on whether the terms of the share offering, placement agreement, and underwriting agreement are in accordance with general commercial terms, fair and reasonable, and in the overall interests of independent shareholders, as well as provide guidance on how independent shareholders should vote.
