HP Insiders Sell US$5.0m Of Stock, Possibly Signalling Caution

The fact that multiple HP Inc. (NYSE:HPQ) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At HP

In the last twelve months, the biggest single sale by an insider was when the Independent Director, Robert Bennett, sold US$2.0m worth of shares at a price of US$30.01 per share. That means that even when the share price was below the current price of US$35.87, an insider wanted to cash in some shares. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. This single sale was 53% of Robert Bennett's stake.

Does HP Boast High Insider Ownership?

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Insiders own 0.2% of HP shares, worth about US$70m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

It doesn't really mean much that no insider has traded HP shares in the last quarter. Our analysis of HP insider transactions leaves us cautious.
